1. Acceptance of Terms

By accessing or using Zib (“the Service”), operated by Zib (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Zib is an AI-powered knowledge management and file storage platform. The Service allows you to upload, organize, search, and share files using artificial intelligence, including semantic search, AI-generated embeddings, an AI agent (playground), MCP (Model Context Protocol) integration, and memory storage. Features and functionality may change over time at our discretion.

3. Account Registration and Security

You must create an account to use the Service. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain and promptly update your account information; (c) maintain the security of your password and accept all risks of unauthorized access to your account; (d) immediately notify us if you discover or suspect any security breaches related to the Service. You are solely responsible for all activity that occurs under your account, whether or not you authorized that activity.

4. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose or to solicit others to perform unlawful acts; (b) upload, store, or transmit any content that infringes upon the intellectual property rights of any third party; (c) upload malware, viruses, or other harmful code; (d) attempt to gain unauthorized access to the Service, other user accounts, or connected systems; (e) use the Service to send spam or unsolicited communications; (f) interfere with or disrupt the integrity or performance of the Service; (g) attempt to reverse-engineer, decompile, or disassemble any aspect of the Service; (h) use automated means to access the Service in a manner that exceeds reasonable request volumes or constitutes excessive or abusive usage; (i) resell or redistribute the Service without our express written consent.

5. Your Content

You retain all rights to the content you upload to the Service (“Your Content”). By uploading content, you grant us a limited, non-exclusive license to store, process, and display Your Content solely as necessary to provide the Service. This includes generating AI embeddings, search indices, and other derivative data required for Service functionality. We do not claim ownership of Your Content and will not use it for purposes unrelated to providing you the Service. You represent and warrant that you have all necessary rights to upload and share Your Content and that it does not violate any third party’s rights.

6. AI Features and Third-Party Services

The Service uses third-party AI providers (such as Google Gemini and OpenAI) to power its AI features, including the AI agent, semantic search, and content embeddings. Your Content may be sent to these providers for processing. AI-generated outputs are provided “as is” and may contain inaccuracies. You should not rely on AI outputs as the sole basis for any important decisions. We are not responsible for the accuracy, completeness, or reliability of AI-generated content.

7. Service Tiers, Billing, and Payment

Zib offers free and paid subscription plans. Paid subscriptions are billed through Stripe, Inc. on a recurring monthly basis. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods. We reserve the right to change pricing with 30 days’ advance notice. Storage limits, AI token quotas, MCP rate limits, and available features vary by plan tier.

8. Usage Limits and Rate Limiting

Each plan tier includes specific usage limits, including but not limited to: storage capacity, monthly AI agent token allowances, and MCP API request rate limits. If you exceed your plan’s limits, certain features may be temporarily restricted until the next billing cycle or until you upgrade your plan. We reserve the right to throttle, suspend, or terminate accounts that engage in excessive or abusive usage patterns.

9. File Sharing and Collaboration

The Service allows you to share files and collections with other users. When you share content, you are solely responsible for ensuring you have the right to share that content. Recipients of shared content may view and, depending on permissions granted, interact with that content. We are not responsible for how recipients use content you have shared with them.

10. MCP API Access

The Service provides MCP (Model Context Protocol) API access that allows third-party AI assistants to interact with your knowledge base. You are responsible for managing your API keys and securing access. You are liable for all activity conducted through your API keys. We may revoke API keys or restrict access at any time if we detect misuse or security concerns.

11. Account Termination and Data Deletion

You may close your account at any time from your account settings. Upon account closure, your account enters a 30-day deactivation period during which you may reactivate it. After 30 days, your account and all associated data (files, collections, memories, embeddings, chat history, and API keys) will be permanently and irreversibly deleted. We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

12. Intellectual Property

The Service, including its design, features, software, and documentation, is owned by us and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except as expressly stated. “Zib” and associated logos are our trademarks.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Zib, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including any intellectual property, privacy, or proprietary right.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.
